Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and related services (collectively, the "Services") offered by Gwanta Platforms, Inc. and its affiliates ("Gwanta," "we," "us," or "our"). By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, you must not use our Services.

Gwanta provides business-oriented technology, analytics, and related tools designed for organisations and professionals operating in Tanzania and beyond. You agree to use the Services only for lawful purposes and in accordance with these Terms and any acceptable use or security policies we publish.

You must not:

• Attempt to gain unauthorised access to our systems, other users' accounts, or underlying infrastructure.
• Use the Services to distribute malware, scrape or overload our systems in ways that impair availability, or circumvent technical limits we apply.
• Misrepresent your identity, your affiliation, or the source of any content you submit.
• Use the Services in violation of applicable law, including export control, sanctions, or anti-corruption rules.

We may suspend or terminate access where we reasonably believe there is a risk to security, compliance, or other users. Certain features may be subject to separate agreements, order forms, or service-specific terms; where those conflict with these Terms on a specific point, the more specific agreement prevails for that feature.

The Services, including software, branding, documentation, and curated content made available by Gwanta, are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes in line with your subscription or permitted use.

You retain ownership of content and data you submit ("Customer Content"). You grant Gwanta a licence to host, process, and display Customer Content solely as needed to provide and improve the Services, in accordance with our Privacy Policy. You represent that you have the rights necessary to grant this licence.

Feedback you voluntarily provide may be used by us without restriction or obligation to you, except where prohibited by law.

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not legally permitted.

To the extent permitted by law, neither Gwanta nor its suppliers shall be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of or related to your use of the Services. Our aggregate liability for all claims arising from or related to the Services shall not exceed the greater of (a) the fees you paid to Gwanta for the Services in the twelve (12) months preceding the claim, or (b) where no fees apply, one hundred United States dollars (USD 100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent the law allows.

These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict-of-law principles that would require the application of another jurisdiction's laws.

Subject to mandatory provisions of law, the courts of Tanzania shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services. You agree to submit to that jurisdiction.
